PRIZES: There is One (1) Grand Prize being offered to the Winner and his/her one (1) guest for a trip to the 15th Annual VH1 Critics’ Choice Movie Awards in Los Angeles, CA (the “Show”), which will take place from Thursday, January 14, 2010 through Saturday, January 16, 2010 (the “Trip”). Show and Trip dates subject to change.

The Total Approximate Retail Value of the Grand Prize (“ARV”) is $6,200.00.

The Grand Prize will include:

•Admission for Winner and his/her one (1) guest to attend the Show and the Red Carpet Arrivals Event, the evening of Friday, January 15, 2010 (Show date subject to change). The Winner and his/her one (1) guest will be escorted to the event and hosted by a Prime Outlets VIP Fashion Stylist & Prime Retail Representatives. (ARV: $500.00)
•Airfare Round-trip Airfare for the Winner and his/her one (1) guest, from a major airport nearest the Winner’s home. Sponsor in its sole discretion, shall have the right to substitute ground transportation for air transportation if the Winner and/or his/her one (1) guest live within 150 miles of Los Angeles, CA. Winner and his/her one (1) guest must travel on same itinerary. (ARV: $700.00)
•Hotel Accommodations: Standard hotel accommodations for three (3) days/two (2) nights, for the Winner and his/her one (1) guest, at a Los Angeles, CA Hotel (room type selected at the sole discretion of the Sponsor. Room and tax only, one (1) double occupancy room). Some restrictions may apply. Advance reservations are required. (ARV: $600.00)
•Wardrobe for Winner and a his/her one (1) guest, selected by the Prime Outlets VIP Fashion Stylist. (ARV: $2,000)
•Hair and Make-up for Winner and his/her one (1) guest. (ARV: $500.00)
•Transportation: First class ground transportation for Winner and his/her one (1) guest to/from the Show. Standard ground transportation for Winner and his/her one (1) guest to/from airport and hotel. (ARV: $1000.00)
•Star/Hollywood Prize Package: It includes One (1) FLIP Camcorder (ARV: $400) and a $500 Prime Outlets Gift Card* (Prize Package ARV: $900.00)
